Japan Healthcare & Pharmacy M&A — Information and Inquiry Desk
Japan’s pharmacy and healthcare sector is undergoing consolidation driven by an ageing ownership base and a shortage of successors. This page outlines the basics for overseas buyers, investors and advisers, and provides a direct inquiry channel.
Why the Japanese pharmacy sector is consolidating
- Many independent pharmacy owners are approaching retirement without a successor.
- Reimbursement revisions favour scale and structured operations.
- Independent owners increasingly consider transfer to a third party rather than closure.
What overseas parties should understand first
- Licensing: pharmacies and medical institutions are regulated separately. The transfer structure (share transfer vs business transfer) determines whether licences carry over or must be re-applied for.
- Medical corporations: a medical corporation’s representative director is, in principle, required to be a licensed physician or dentist. Exceptions require prefectural approval.
- Valuation: EBITDA multiples are commonly referenced in practice, but the final price is determined by individual negotiation.
- Staff retention: pharmacists and managing pharmacists are central to continuity, so retention terms are frequently part of negotiations.
